- Contribution of the remaining 24.9% of BIOSTROM through the issue of
715,000 shares from authorised capital
- BIOSTROM shareholders Günter Schlotmann and Peter Westerhoff succeed
retiring Managing Board members Walter Posmyk and Hans Joachim von der Ohe
- Supervisory Board appoints Gunnar Dresen as the new CFO of BKN
Sprakensehl-Bokel, 3 December 2007 - BKN BioKraftstoff Nord AG, a financial
and investment holding for regenerative energy sources, is increasing its
share of the biogas subsidiary BIOSTROM to 100% earlier than planned. In
the scope of a capital-in-kind increase, another 24.9% of BIOSTROM shares
will be contributed in return for the issue of 715,000 shares of BKN
BioKraftstoff Nord AG from authorised capital. The share capital of BKN
will thereby rise from EUR 6,850,000 to EUR 7,565,000.
In connection with the strategic reorientation and focus on the biogas
segment, the Managing Board of BKN will also be recomposed: the Supervisory
Board amicably appointed the Managing Board members of BIOSTROM Günter
Schlotmann (47) and Peter Westerhoff (56) to the Managing Board of BKN as
well, effective immediately. They thereby succeed Walter Posmyk and Hans
Joachim von der Ohe, who are leaving the company on good terms.
Schlotmann will act as the future Chief Operating Officer (COO) for BKN. As
was the case at BIOSTROM, Westerhoff has taken on the position of Chief
Technical Officer (CTO). With the contribution of BIOSTROM shares, the two
new Managing Board members now have a holding of some 20.7% of BKN
BioKraftstoff Nord AG.
The new management team is strengthened by the CEO Ulrich Wogart as well as
by the previous business director of BKN, Gunnar Dresen (45), who in the
future will act as the Chief Financial Officer (CFO). This will increase
the number of Managing Board members at BioKraftstoff Nord AG from three to
four.
CEO Ulrich Wogart welcomes the decision by the Supervisory Board: 'With the
personal change we are mapping out our strategic reorientation and
expertise in the biogas segment within the Managing Board as well. At the
same time we are intensifying our focus on the needs of the capital market
with our new CFO. This puts us in the best position to take major steps
towards furthering our planned growth!'
Company profile
BKN BioKraftstoff Nord AG operates as a financial and investment holding
company in the biogas and biodiesel segments. Thanks to BIOSTROM Energy
Group AG and its operating subsidiaries, which BKN successfully acquired in
April, the company now operates successfully on the market for biogas
plants as a prime contractor, covering the entire value chain: the company
has far-reaching expertise from maintaining competitiveness standards for
plant locations to project planning, permit acquisition, the construction
and operation of biogas plants and the efficient control of the plants.
Biological process control of biogas plants, supported by BIOSTROM's
exclusive know-how, is one of its particular assets.
