WorldWater & Power Corporation Completes $4.45 Million Financing and Recapitalization

Funding for Current Projects, Working Capital, Sales Growth


PENNINGTON, N.J., July 26 /PRNewswire-FirstCall/ -- WorldWater & Power Corp. (OTC Bulletin Board: WWAT - News), developer of high-horsepower solar energy systems, announces the completion on July 22 of a $4,000,000 financing agreement with the hedge fund CAMOFI Master LDC, an affiliate of Centrecourt Asset Management, LLC, a New York based asset management firm. In addition to the private placement, the recapitalization includes $450,000 in exercised warrants, and reduction of long-term debt by $900,000 through stock conversions.
The financing consists of $3 million of 10% senior secured convertible notes due 2008 and 4,259,260 shares of common stock for a purchase price of $1.02 million.

Upon the closing of this private placement, WorldWater received the purchase price for the shares of common stock and $1 million of the purchase price of the convertible notes. The $2 million balance of the purchase price of the convertible notes will be held in escrow by a commercial bank pending the satisfaction of the following conditions: $1,000,000 will be paid to WorldWater from the escrow when the Company's common stock is trading at or above $0.40 per share and trading volume exceeds 500,000 shares for a period of 10 consecutive days, and $1,000,000 will be paid upon the execution of new contracts for WorldWater's products and services in the aggregate amount of $5,000,000. The convertible notes bear interest at the annual rate of 10%, payable monthly in arrears, and are due and payable July 21, 2008. The notes are convertible into WorldWater common stock at a price of $0.18 per share.

The proceeds of this financing and recapitalization strengthen the Company's balance sheet and will help fund the Company's current project implementations, anticipated sales growth, working capital and intellectual property development.

Of the $450,000 raised through the exercise of warrants held by current Company shareholders, $400,000 has been used to reduce its outstanding line of credit from $1 million to $0.6 million. The conversion to common stock of $900,000 of outstanding convertible debt reduced the Company's long-term debt.

Brown, Vice President - Chief Financial Officer, has been promoted to Executive Vice President and Chief Operating Officer, effective immediately. He will continue to maintain his CFO position and responsibilities, and will report to Quentin T. Kelly, Chairman and CEO.

The announcement coincides with the recent closing of the $4.45 million financing and recapitalization of the Company, which was announced last week. Mr. Brown, who joined WorldWater & Power Corp. as CFO in May 2004, has extensive operational as well as financial experience in the energy industry. He was Director of Structured Finance, Americas, for Entergy Wholesale Operations in Houston, Texas; Project Finance Director for El Paso Energy International, Houston; and VP-Finance for Westmoreland Energy, Charlottesville, VA. He also held executive positions with AMVEST Corp., Charlottesville, and earlier, was a senior accountant for Deloitte, Haskins & Sells (Deloitte & Touche), where he obtained his CPA.

A graduate in Business Administration from Georgetown University, Mr. Brown earned an MBA from Texas A&M University.

WorldWater & Power Corporation Signs $1.4 Million in Solar Energy Contracts

PENNINGTON, N.J., Sept. 20 /PRNewswire-FirstCall/ -- WorldWater&Power Corp. (BULLETIN BOARD: WWAT), developer of proprietary high-powered solar energy systems, today announced that it has signed contracts totaling $1.4 million to build and install solar electric power systems for two car washes in the Los Angeles area. Car washes represent a new industry for the use of solar technology for WorldWater. The photovoltaic (PV) systems are expected to substantially reduce electrical usage costs for the two facilities.

The contracts with the car wash chain are conditional upon third party financing. Once the financing is realized, construction is expected to begin immediately and will be managed by Quantum Energy Group, the California engineering, construction and project management firm acquired by WorldWater&Power Corp. earlier this month. Quantum Energy Group will supervise the installation of the solar power systems, as well as the construction of canopies to hold the PV panels.

"The car washes on which the WorldWater&Power solar energy systems will be installed average between 5,200 and 5,300 car washes per month. Electricity costs for each of the car washes typically run between $3,000 and $4,000 per month, depending on the site and the month of the year," stated Quentin T. Kelly, Chairman and CEO of WorldWater. "In addition to realizing energy cost savings, the owners will obtain Federal and State tax credits (ITCs) and accelerated depreciation. The current Federal ITC of 10% increases to 30% January 1, 2006."

WorldWater&Power Corp. anticipates the rebates from Southern California Gas Company for the solar installations will be realized during the fourth quarter of 2005 and the first quarter of 2006.

Solar Powered Pumping Part of Tsunami Reconstruction


PENNINGTON, N.J., Sept. 26, 2005 (PRIMEZONE) -- The U.S. Trade and Development Agency (USTDA) has awarded $360,000 in grant funds to WorldWater & Power Corp. (OTC BB:WWAT.OB - News) to support a pilot project for water supply in Sri Lanka. The project is designed to assess solar technology methods to provide safe, sustainable water supplies to people in six villages near the tsunami-ravaged southern coast of Sri Lanka.


Subject to satisfactory results of WorldWater's ground water assessment study, WorldWater anticipates the award of the full contract of $1.1 million with the Ministry of Urban Development and Water Supply to pump and deliver water to 13,677 people in approximately 3,000 households in the six villages through use of its AquaMax(tm) solar water pumping systems.

Signatories to the WorldWater grant included U.S. Ambassador to Sri Lanka Jeffrey J. Lunstead, and Dr. P.B. Jayasundera, Secretary for the Ministry of Finance and Planning of the Government of Sri Lanka. The USTDA funding is one of several grants that will help support the efforts of the Government of Sri Lanka to rebuild and improve infrastructure in districts affected by the tsunami in December 2004.

The Honorable W. Piyasena, National Project Director of the Community Water Supply and Sanitation Project, and the Rural Water Supply and Sanitation Division of the Ministry of Urban Development and Water Supply, said, ``There is a need to identify alternative energy sources for pumping water in remote rural areas. Even in areas where electricity is available, delays in getting electricity connections and the high costs of such connections have resulted in problems. Diesel driven pumps are found to be unsatisfactory in rural areas due to frequent repair and maintenance requirements and also due to high fuel costs.'' The Ministry specifically requested that WorldWater & Power Corp. conduct the technical assistance for the project.

Ms. Marian Bassett of the U.S. Trade Development Agency stated, ``We are pleased to provide this assistance to the Government of Sri Lanka, and we hope that this grant will catalyze large scale adoption of these environmentally friendly, clean technologies to make a difference in the quality of life of the rural people of Sri Lanka.''

NEW YORK (Dow Jones)--Amid the devastation of hurricanes Katrina and Rita, an eclectic group of companies find themselves walking a fine line between capitalism and compassion.

Storm chasers are taking squall damage footage while coffins float next to them. Auto dealers in other states are selling cars to evacuees who have been bussed or walked in.

Pump companies have stepped forward with oceans of fresh water. Industrial phone providers are keeping emergency workers linked despite downed cellphone and other communication lines.

All share a couple of things in common. They are not the usual groups that trip off investors' tongues as hurricane beneficiaries, such as homebuilders and heavy equipment providers. And they are all making a pretty penny while trying to maintain their humility.

Martin Lisius, president of Prairie Pictures, spoke Friday from a cellphone while speeding through Texas to chase Hurricane Rita. His goal was to capture footage that he could license to television stations and other outlets to give viewers a close look at the lashing the state was taking. He was just coming off Hurricane Katrina in New Orleans.

"Of course I feel for the affected people, but I also love what I do," Lisius said.

While Lisius was on the chase, CarMax (KMX) was selling autos - in Texas and Atlanta to evacuees from Louisiana and Mississippi whose cars were flooded out by Katrina and wanted mobility now that they were out of the storm's path. The buying was still going on in third week of September, a CarMax spokesman said.

[B]The varied group also includes WorldWater & Power (WWAT), a company that uses use natural energy to run high-powered pumps that provide fresh water.

The company is preparing portable solar power systems to supply fresh water and electricity to hospitals and schools, with plans to start shipping to the Katrina area this week and the Rita-impacted zone after.

Chief Executive Quentin Kelly told Dow Jones Newswires the systems can pump 15,000 gallons of purified water a day, helping to provide drinking water to 8,000 to 12,000 people.

The company's first system was donated; the others cost $30,000 a unit. He figures WorldWater will supply Mississippi and parts of Louisiana with about 10 units and that participation in the Rita recovery is "is quite likely." [/B]The ability to help is rewarding and so are "the economics of this unit," Kelly said. "For a total of $300,000 you're delivering clean water to 100,000 to 120,000 people every day. We see this as a significant contributor to our future sales."

Another company, Iridium Satellite (IDM.XX), is selling thousands of satellite phones to emergency and other assistance workers to keep them in touch with one another amid the Katrina cleanup. "We saw thousands of orders come in requesting the phones from these government and non-government workers as they began their efforts," said spokeswoman Liz DeCastro. And word of mouth has been proving invaluable, she said.

That's because the product, originally developed for travelers going to remote places, works anywhere - when all cell, landline and radio towers and lines are down or don't exist.

The company has supplied close to 10,000 phones in response to Katrina and depending on the service providers they retail from $1,000 to $1,500, with some having been donated to the hurricane effort. "Our phones have been ringing nonstop from such businesses as insurance companies appraising damage, and construction companies," DeCastro said.

Rita is also expected to provide opportunity. "We got a lot of calls before Rita and still expect to be extremely busy with new orders coming," DeCastro said.

"We do make money off it and also have a lot of leads as word has been traveling about the phones," she said. "But it also feels good to help. This is putting us to the test, that is for sure."

There is also the nitty-gritty to be taken care of. Avamar makes systems that backup business information onto disk drives, not tape drives, allowing the data to be transported over telecommunications lines, a more secure approach, said chief executive Ed Walsh.

Avamar's services were used in the Kartina area and the company also does a lot of business in Texas, said Walsh. The "hurricanes are driving awareness," Walsh said. "We made millions in increased revenues in this quarter, with most coming during last month, and in next four quarters we expect this to translate into even more."

PENNINGTON, N.J., Nov. 4 /PRNewswire-FirstCall/ -- WorldWater&Power Corp. (BULLETIN BOARD: WWAT), developer of proprietary high-powered solar energy systems, today announced that it has been awarded a bid contract to build and install the first solar electric power generation system for DuPont (Nachrichten) (DD). The photovoltaic (PV) system will provide solar energy for the Photovoltaic Solutions technical laboratory in Wilmington, Delaware. Um es mit einem Posting aus einem USA-Thread zu Worldwater zum Ausdruck zu bringen:

"I know, I know, I wasn't going to post anymore but I just can't help it with this announcement. When I woke up this morning I saw the little star next to WWAT and said ok let's read the news.

When I read the news that WWAT and Dupont were in a joint venture I just couldn't help but smile. For Dupont Chemical to be involved with WWAT on any scale shows you just how far this little company has come. Also Dupont isn't involved with WWAT for this 1 prototype, I would guarantee you that this relationship grows over the years to what conclusion who knows!!!!!!

This is no longer the company we first invested in, where promises were always made and never delivered. If you notice now no promises are ever made but the company keeps delivering time and time again.

For anyone who thinks this isn't big news, please sell your stock this morning for those of us who want it.
