Worldwater & Power Corp. to Provide Solar Electric System for Richard Stockton College of New Jersey

PENNINGTON, N.J., March 3, 2006 (PRIMEZONE) -- WorldWater & Power Corp. (OTC BB:WWAT.OB - News), developer and marketer of proprietary high-power solar systems, today announced the signing of an agreement to install a solar electric power system on the campus of Richard Stockton College of New Jersey in Pomona.

The project involves the installation of the photovoltaic system on the roof of a new building that houses faculty offices and academic space. The project is a collaborative effort between WorldWater & Power Corp. and Eastern Energy Services of Southampton, N.J. WorldWater & Power will provide engineering, materials and equipment required to complete the project in accordance with the proposal. Installation contracting services for the project, including permitting and the preparation of plans and drawings related to permitting and construction, will be provided by Eastern Energy Services under contract to the College. A rebate application for the project has been filed with the Customer Onsite Renewable Energy (CORE) program of the New Jersey Board of Public Utilities (NJBPU). Construction is expected to begin in four weeks.

WorldWater & Power Corp. Wins $1.9 Million Bid from Liberty Science Center for Two Solar Electric Systems

PENNINGTON, N.J.--(BUSINESS WIRE)--April 3, 2006--WorldWater & Power Corp. (OTCBB:WWAT - News), developer and marketer of proprietary high-power solar systems, today announced that it has won a $1.9 million dollar bid award to design and install two solar electric systems at the Liberty Science Center, the most visited science museum in New Jersey. After signing the award letter, Connie Claman, Vice President of Resource Administration for the Center, said, "We all look forward to working with WorldWater & Power to implement the solar power program at the Liberty Science Center. This will be a particularly appropriate installation for the expanded Science Center and will provide great visibility to the benefits of solar power to the citizens of the regions."

One photovoltaic installation, a 122 kW unit, is to be mounted on the roof of the newly expanded Liberty Science Center facility and will face the Statue of Liberty as a symbol of clean, renewable energy. The other, a 105 kW installation, is a "Solar Walkway" that will lead from the bus parking lot to the center's main entrance. Here, overhead solar panels will serve double-duty as a canopy to protect visitors from the elements while generating electric power from the sun. Both units are expected to substantially reduce the Liberty Science Center's utility costs.

Kelly, participated today at the inauguration of DuPont's new solar energy program, featuring a system designed and installed by WorldWater, at DuPont's Chestnut Run facility in Wilmington, Del. Leading the inaugural event were DuPont Chairman and CEO Charles O. Holliday, Jr. and Delaware Governor Ruth Ann Minner.

The 40 Kilowatt solar system, DuPont's solar generated electricity at one of its facilities, will convert the sun's energy into electricity for an R&D and business building at the site.

Rooftop Mounted Solar Unit at Middle School Will Sharply Reduce Operating Expenses


PENNINGTON, N.J., April 25, 2006 (PRIMEZONE) -- WorldWater & Power Corp. (OTC BB:WWAT.OB - News), developer and marketer of proprietary high-power solar systems, today announced the signing of a $295,301 contract to provide design, engineering and solar equipment for the Voorhees Township Public Schools in Voorhees, New Jersey. The primary contractor for the project is Ray Angelini, Inc. (RAI) of Sewell, New Jersey. Construction will begin immediately for the installation of photovoltaic panel array on the roof of the Voorhees Middle School on Hollyoak Drive. WorldWater's patented electronics will automatically control power delivery to the school and manage the net metering of surplus electricity back to the utility to earn renewable energy credits.

Quentin T. Kelly, Chairman of WorldWater & Power Corp. commented on the signing. ``This is our first solar installation for a school in New Jersey. We are highly optimistic that more school boards will take advantage of the generous rebates from New Jersey's Clean Energy Program that pay for about 50% of the solar equipment and installation. Solar panel arrays are installed so they are non-penetrating to the roof structure and do not compromise waterproofing. The Voorhees' school will be generating solar power 'year round, but when it's closed during the hottest summer months, it will be earning very large renewable energy credits by sending solar generated electricity back to the utility company. This will sharply reduce their overall annual operating expenses.''

Camden County's Voorhees Township has had a population increase to more than 28,000 people over the past ten years. Median family income of the Township is one of the highest in South Jersey.

The solar panel array will be installed on the school's roof. Under WorldWater's Alternative Clean Energy Services (ACES) plan, St. Joseph's will not incur any start-up costs for the installation and the school will receives a 10% discount on their cost for power compared to their electric rate. The installation of the solar energy system at the school guarantees that the school will save money on electric costs immediately and on a long-term basis. The construction value of the project is $1.3 million.
WorldWater & Power Corp. will design, install, own and maintain the solar energy system on St. Joseph's roof. The school will remain connected to the electric grid and will receive power from both the utility and its solar rooftop unit.
"We expect our solar power will offset approximately 50% of the school's electricity and they will be buying that solar power at a 10% discount below their utility rate. Over the next 10 years, they will save a significant dollar amount for the school to put to other beneficial uses," said Quentin T. Kelly, Chairman of WorldWater & Power Corp.
In New Jersey, customers of electrical utilities can generate their own on-site solar power and receive kilowatt-hour for kilowatt-hour "net metering" credits for the power they return to the utility company. School buildings are particularly well suited for solar installations, because they usually have large, flat roofs and the solar panels used by WWPC can be installed to optimize solar energy collection -- turning an empty spot into a revenue producing asset. With WorldWater's ACES plan the customer assumes no risks, no start-up costs and no membership fees. The ACES plan guarantees the customer savings from the first day of service and every day thereafter for a minimum of 10 years. At the end of that term, the customer has the option of continuing to buy solar power at a discounted rate or buying the solar system at a reduced price to reap even more savings on electric cost. The ACES Plan allows customers to choose clean reliable solar energy instead of settling for traditional utility power and increasing utility rates.
St. Joseph of the Palisades High School is a parish owned Roman Catholic co-educational school with the mission of serving the spiritual, educational and social needs of students from the surrounding communities. Approximately 300 students, grades 9-12, are enrolled for the 2005-2006 academic year. Students participate in a rigorous college preparatory program, which has resulted in over 90% of graduates being accepted by colleges and universities. WorldWater & Power Announces School Contract Worth $850,000 with North Jersey School

PENNINGTON, N.J., May 11, 2006 (PRIMEZONE) -- WorldWater & Power Corp. (OTC BB:WWAT.OB - News), developer and marketer of proprietary high-power solar systems, today announced the signing of a contract with the Gerrard Berman Day School, Solomon Schechter of North Jersey (GBDS-SSNJ) located in the Bergen County community of Oakland. Under the terms of the agreement, GBDS-SSNJ will purchase solar generated electricity from a system provided by WorldWater & Power that will be installed on the school's roof. GBDS-SSNJ will not pay for the system or installation but rather commits to buying solar electricity from a third party financing entity for the next ten years at a discounted rate, 10% below their electric utility rate.

By accepting WorldWater's Alternative Clean Energy Services (ACES) plan, the school is guaranteed to save money over a 10-year period, as the solar electricity will provide approximately 50% of the school's power needs. At the end of the contract term, the school can buy the system at a discounted rate and save additional money. The school will remain connected to the electric grid and will receive power from the solar rooftop unit along with the electric utility. WorldWater & Power's technology will ensure automatic and seamless integration between both power sources. The construction value of this project is $850,000.

WorldWater & Power Corp. will design and maintain the solar energy system at the Gerrard Berman Day School. The installation partner for the project will be Clear Skies Group of West Hempstead, New York.

WorldWater & Power Announces New Financing of Up To $6.9 Million

PENNINGTON, N.J.--(BUSINESS WIRE)--May 16, 2006--WorldWater & Power Corp. (OTCBB:WWAT.OB - News), developer and marketer of proprietary high-power solar systems, today announced that it has signed a term sheet for up to $5.0 million in financing through the sale of convertible debentures lead by an existing institutional investor. Additionally, the existing institutional investor has agreed to exercise warrants which will result in the infusion of $1.9 million of additional funds into the Company. The debentures are comprised of two tranches, with up to $3.0 million to be funded upon closing of the debenture transaction and up to $2.0 million to be advanced upon satisfaction of certain conditions. The debentures are convertible into common stock of the Company at the lower of the 10-day volume weighted average price prior to closing or $0.40 per share. The debenture agreement is subject to completion of due diligence and definitive documentation. WorldWater & Power expects to close the $3.0 million tranche and receiving funding within ten business days.
